Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sen Gideons Spotlight website, applications, and related services (collectively, the "Services") operated by Sen Gideons Spotlight ("we," "us," or "our").

By accessing or using the Services, creating an account, listing a business, writing a review, purchasing a subscription, or submitting a listing claim, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

You must be at least 18 years old and capable of entering into a binding agreement to use the Services. By using the Services, you represent that you meet these requirements.

If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

To access certain features, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to:

• Provide accurate and current registration information
• Verify your email address when requested
• Notify us promptly of any unauthorized use of your account
• Not share your account or use another person's account without permission

We may suspend or terminate accounts that violate these Terms or pose a risk to the platform or other users.

Sen Gideons Spotlight provides an online business directory focused on Ghana. The Services allow users to search, browse, and view business listings; save favorites; submit reviews; and contact businesses through the platform.

We strive to keep directory information useful and up to date, but we do not guarantee the accuracy, completeness, availability, or quality of any listing, review, or third-party business. Your use of directory information is at your own discretion and risk.

Business owners and authorized representatives may create, claim, or manage listings subject to plan limits and platform rules. Some listings may be added from publicly available sources and can be claimed by verified owners.

When you submit or manage a listing, you represent that:

• You are authorized to represent the business
• The information you provide is accurate and not misleading
• You have the right to upload photos, logos, and other content you submit
• Your listing complies with applicable laws and these Terms

Listing claims are subject to review. We may approve, reject, or request additional information before granting ownership or verification status. We reserve the right to edit, unpublish, or remove listings that violate these Terms or applicable law.

Users may submit reviews, messages, photos, product information, job postings, and other content ("User Content") through the Services. You retain ownership of your User Content, but you grant Sen Gideons Spotlight a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and adapt your User Content solely to operate, promote, and improve the Services.

You agree not to submit User Content that:

• Is false, defamatory, harassing, hateful, or obscene
• Infringes intellectual property or privacy rights
• Contains malware, spam, or deceptive promotions
• Violates any applicable law or regulation

We may remove or moderate User Content at our discretion. Review policies may limit one review per user per business.

Sen Gideons Spotlight offers free Basic listings and paid plans, including Premium and Lifetime subscriptions, as described on our Pricing page. Plan features, limits, and prices may change from time to time.

Paid subscriptions are processed through third-party payment providers such as Paystack and Stripe. By purchasing a plan, you authorize us and our payment partners to charge the applicable fees using your selected payment method.

Unless otherwise stated or required by law:

• Fees are quoted in Ghana Cedis (GHS) unless specified otherwise
• Premium subscriptions renew annually unless cancelled before renewal
• Lifetime plans provide long-term access subject to these Terms and continued operation of the Services
• Refunds are handled on a case-by-case basis unless a specific refund policy is published at checkout

We may change pricing, features, or plan availability with reasonable notice where practicable. Administrative actions such as subscription revocation may be taken for fraud, abuse, or violations of these Terms.

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes
• Scrape, crawl, or harvest data from the platform without permission
• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with or disrupt the integrity or performance of the Services
• Impersonate any person or business or misrepresent your affiliation
• Post fake reviews or manipulate ratings or search results
• Circumvent plan limits, verification, or security controls

The Services, including the Sen Gideons Spotlight name, logo, website design, software, and original content created by us, are owned by or licensed to Sen Gideons Spotlight and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our prior written consent.

Listings and content may include links to third-party websites, phone numbers, emails, or services. We do not control and are not responsible for third-party sites or services. Your interactions with third parties are solely between you and the third party.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that listings, reviews, or business information will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEN GIDEONS SPOTLIGHT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED GHANA CEDIS (GHS 100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Sen Gideons Spotlight and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, your business listings, your violation of these Terms, or your violation of any rights of another person or entity.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, harms other users, or creates risk for the platform.

You may stop using the Services at any time and may request account deletion through available account settings or by contacting us. Provisions that by their nature should survive termination will remain in effect, including ownership, disclaimers, limitation of liability, and indemnification.

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Ghana, unless applicable law requires otherwise.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes may also be posted on the website or communicated by email where appropriate. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
